1. Acceptance of Terms
By accessing or using the Vertex Solution website and services, you agree to be bound by these Terms & Conditions. If you do not agree with any part of these terms, you must not use our website or services.
2. Services Description
Vertex Solution provides digital marketing services including but not limited to SEO, PPC advertising, social media marketing, content marketing, email marketing, analytics, and web design. All services are delivered on a best-effort basis with measurable deliverables as outlined in each client agreement.
3. Client Responsibilities
Clients agree to provide timely access to necessary accounts, assets, and information required for the delivery of services. Delays caused by the client may impact project timelines and results.
4. Payment Terms
Payment terms are specified in each client agreement. Invoices are due within the period stated on the invoice. Late payments may result in service suspension. All fees are non-refundable unless otherwise stated in writing.
5. Intellectual Property
All work products, including but not limited to content, designs, and strategies, remain the property of Vertex Solution until full payment is received. Upon full payment, ownership transfers to the client. Vertex Solution retains the right to display completed work in its portfolio.
6. Limitation of Liability
Vertex Solution shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services. Our total liability is limited to the amount paid by the client for the specific service giving rise to the claim.
7. Termination
Either party may terminate an agreement with written notice as specified in the contract. Upon termination, client shall pay for all services rendered up to the termination date.
8. Changes to Terms
We reserve the right to modify these terms at any time. Clients will be notified of material changes via email or a notice on our website. Continued use of our services constitutes acceptance of the updated terms.
